Terms of Use

The website located at www.charityvillage.com (the “Site”) is owned and controlled by Charity Village Ltd (“CharityVillage”). These are the Terms of Use ("Terms") under which all individuals seeking employment, and/or information related to an employment or job search (“Job Seekers”), and organizations seeking to provide information and to search for individuals regarding open employment positions, including employment agencies (“Employers”) or other users (collectively, “Users”) may use the Site and the CharityVillage Services (collectively the “Services”, each as defined below). These Terms include the CharityVillage Privacy Policy (“Privacy Policy”) which is incorporated into these Terms by reference.
1. Acceptance of Terms
By accessing or using the Site and related Services, You agree to comply with and be bound by these Terms of Use ("Terms"). If You do not agree to these Terms, You must not use or access the Services. These Terms constitute a binding agreement between each Job Seeker, Employer or other User (“You” or “Your”) and CharityVillage, including but not limited to its subsidiaries and affiliated companies (collectively with Charity Village Ltd. referred to herein as "CharityVillage"). Affiliated companies are entities that control, are controlled by, or are under common control with Charity Village Ltd. These Terms, including the Privacy Policy, are deemed accepted by You each time that You use or access any Site or CharityVillage Services. If You do not accept the Terms stated here, do not use the Site and the Services.
2. Changes to Terms
CharityVillage may update or modify these Terms at any time without prior notice. Revised Terms will be posted on the Site with an updated "Last Updated" date. Continued use of the Services after such posting signifies Your acceptance of these revised Terms.
3. Definitions
User: Any individual or entity accessing the Site.
Job Seeker: A User accessing the Site to search and/or apply for employment or volunteer opportunities.
Employer: A User accessing the Site to post jobs or volunteer positions, recruit candidates, or utilize employer-related services.
4. Description of Services
The Services are collectively defined as the products, applications and services offered by CharityVillage to Job Seekers and Employers, including an online service to post and search employment opportunities. The Services include, without limitation, the following:
Job Board and Search: Includes free job searches, featured job postings, and an employer portal powered by the Jobiqo Platform. Job Seekers can create accounts, search, and apply for jobs. Employers must pay applicable fees to post and promote listings, except for volunteer postings which are offered for free.
AI Services for Employers: Employers also have an option to purchase AI powered services as follows: (a) Employers can choose the option to have the platform provide an AI-generated Job Description within the job posting workflow; and (b) Employers can also choose to have the Site use AI to parse job descriptions that are uploaded to the Site.
Webinars: Monthly educational webinars on topics relevant to the nonprofit sector, free to attend with subsequent on-demand access to webinar recordings.
Advertising and Sponsorship: Opportunities to advertise through various formats including banner ads, sponsored content, newsletters, and event sponsorships as a fee for service.
Newsletters: Distribution of "Village Vibes," a weekly newsletter for nonprofit news and resources.
Podcasts: Hosting of the "CharityVillage Podcast," providing sector insights and interviews with nonprofit thought leaders available on major podcast platforms.
eLearning and Training: Online courses on leadership, HR, compliance, fundraising, and other nonprofit sector-specific topics offered for a fee.
Funding Programs for Nonprofits Directory: A free directory of Canadian government grants, foundations, corporate giving programs, and nonprofit funding opportunities.
Screening Services: Criminal record and background checks provided by accredited Canadian police services offered for a fee.
e-Reference Checks: Online reference checking services offered for a fee.
Driver’s License Verification and Provincial Abstracts: Online drives license verification services offered for a fee.
Credit Summary Checks: Online Credit Summary check services offered for a fee.
Employment History Verification: Online Employment verification services offered for a fee.
Social Media Checks: Online Social Media check services offered for a fee.
Vulnerable Sector Check Upload: Online Vulnerable Sector Check upload services offered for a fee.
CharityVillage Crowdfunding Platform: A zero-setup-cost crowdfunding solution specifically designed for nonprofit and charity fundraising.
CharityVillage Nonprofit Salary and Benefits Report: A comprehensive report on the salaries and benefits provided to nonprofit professionals, based on a nationwide survey of nonprofits that provides insight into the remuneration paid to nonprofit employees according to position, seniority, location of organization, whether full or part time, and whether remote, in-office or hybrid workplaces published on an annual or bi-annual basis and sold for a fee.
5. Eligibility
You must be 13 years of age or older to visit the Site in any manner, and, if 16 years of age or over but under the age of 18 (or the age of majority as that is defined in Your jurisdiction), You must use the Site under the supervision of a parent, legal guardian, or other responsible adult. To use the Services, You must be at least 18 years old (or the age of majority in Your jurisdiction) and legally able to enter into binding contracts under applicable Canadian law.
6. Account Registration and Security
You must provide accurate, current, and complete registration information. You are responsible for safeguarding Your login details and must promptly notify CharityVillage of any unauthorized use or security breach related to Your account. You are responsible for maintaining the confidentiality of Your account and passwords, as applicable. You may not share Your password or other account access information with any other party, temporarily or permanently, and You shall be responsible for all uses of Your Site registrations and passwords, whether or not authorized by You.
7. Job Seeker Terms
Job Seekers have free access to job search functions, job and volunteer applications, webinars, newsletters, and podcasts. Users must only use downloaded content for personal, non-commercial purposes and must not engage in harassment, fraudulent activities, or unlawful behaviors. When You register with the Site, You will be asked to login with Facebook, Google, LinkedIn, or to create an account and provide CharityVillage with certain information including, without limitation, name, postal code, career and education level and a valid email address ("Information"). Each Job Seeker acknowledges, unless expressly stated in the job description, that (i) Job Postings are created by third parties over whom CharityVillage has no control; and (ii) CharityVillage has no control over the content of Job Postings or links from Job Postings.
8. Additional Terms Applicable to Job Seekers.
You acknowledge and agree that You are solely responsible for the form, content and accuracy of any resume or Information contained therein placed by You on the Site.
You acknowledge and agree that You should protect your personal information by never providing social security, credit card or bank account numbers to prospective employers.
CharityVillage reserves the right to offer third party services and products to You based on the preferences that You identify in Your registration and at any time thereafter or you have agreed to receive, such offers may be made by CharityVillage or by third parties. Please see CharityVillage’s Privacy Policy, for further details regarding Your Information.
You understand and acknowledge that You have no ownership rights in Your account and that if You cancel Your CharityVillage account or Your CharityVillage account is terminated, all Your account information from CharityVillage, including resumes, cover letters, saved jobs, will be marked as deleted in, and may be deleted from, CharityVillage's databases and will be removed from any public area of the Site. Information may continue to be available for some period of time because of delays in propagating such deletion through CharityVillage’s web servers. In addition, third parties may retain saved copies of Your Information. CharityVillage reserves the right to delete Your account and all of Your Information after a significant duration of inactivity.
9. Employer Terms
Employers using paid Services, (including but not limited to job postings, enhanced listings, and advanced applicant-tracking tools), must pay the stated fees published on the Site or any Invoice, Service Agreement, Insertion Order, or other sales agreement (“Contract”). CharityVillage manages billing, support, delivery and compliance for the paid Services which are subject to a Contract between You and CharityVillage, as applicable for the specific service used. Upon payment, Employers are granted a non-exclusive, non-transferable license to use the Services solely for internal recruitment, training, reference or background checking, or fund-raising purposes, as the Services are supplemented or changed from time to time. In the case of any conflict between these Terms and a Contract you have with CharityVillage, the terms of your Contract will prevail.
10. Additional Employer Terms Applicable to Job Postings.
Employers are solely responsible for their postings on the Site. CharityVillage is not to be considered an employer with respect to Your use of the Site and CharityVillage shall not be responsible for any employment decisions, for whatever reason, made by any entity posting jobs on the Site.
As an Employer, You understand and acknowledge that if You cancel Your employer account or Your employer account is terminated, all Your account information from CharityVillage, including saved resumes, contacts, and email mailing lists, as applicable, may be deleted from CharityVillage's databases. Information may continue to be available for some period of time because of delays in propagating such deletion through CharityVillage’s web servers. You shall use the Site and the Services in accordance with all applicable privacy and data protection laws.
A Job Posting may not contain:
(a) any hyperlinks, other than those specifically authorized by CharityVillage;
(b) misleading, unreadable, or "hidden" keywords, repeated keywords or keywords that are irrelevant to the job opportunity being presented, as determined in CharityVillage’s reasonable discretion;
(c) the names, logos or trademarks of unaffiliated companies other than those of your customer if You are posting the job on behalf of a qualifying, bona fide employer to whom You are providing recruitment or staffing services;
(d) the names of universities, colleges, cities, towns, province, states or countries that are unrelated to the posting;
(e) more than one job or job description;
(f) inaccurate, false, or misleading information; and
(g) material or links to material that exploits people in a sexual, violent or other manner, or solicits personal information from anyone under 18.
You may not use Your CharityVillage Job Posting to:
(a) post jobs in a manner that does not comply with applicable local, national and international laws, including but not limited to laws relating to labour and employment, and employment eligibility requirements, data privacy, data access and use, and intellectual property, any and all of which is strictly prohibited;
(b) post jobs that require citizenship of any particular country or lawful permanent residence in a country or possession or territory of a certain type of visa, unless otherwise required in order to comply with laws, regulations, or a federal, provincial or local government contract;
(c) post jobs that include any screening requirement or criterion in connection with a Job Posting where such requirement or criterion is not an actual requirement of the posted job;
(d) promote or advertise career fairs, job fairs, hiring events, conferences, seminars or open houses or any other event or meeting without CharityVillage’s prior approval;
(e) post jobs or other advertisements for competitors of CharityVillage or post jobs or other content that contains links (other than links to apply for the job) to any site competitive with CharityVillage;
(f) sell, promote or advertise products or services;
(g) post any franchise, pyramid scheme, "club membership", distributorship, multi-level marketing opportunity, or sales representative agency arrangement;
(h) post any opportunity that requires an up-front or periodic payment or requires recruitment of other members, sub-distributors or sub-agents;
(i) post any opportunity that pays commission only unless the posting clearly states that the available job pays commission only and clearly describes the product or service that the Job Seeker would be selling;
(k) excepting a bona fide volunteer position for a registered charity or legitimate nonprofit corporation, promote any opportunity that does not represent bona fide employment;
(o) endorse a political party, political agenda, political position or issue;
(p) expressly promote a religion; and
(q) except where allowed by applicable law, post jobs which require the applicant to provide information relating to his/her (i) racial or ethnic origin, (ii) political beliefs, (iii) philosophical or religious beliefs, (iv) membership of a trade union, (v) physical or mental health (including pregnancy status), (vi) sexual life, (vii) the commission of criminal offences or proceedings, (vii) age or (viii) sex or gender.
CharityVillage reserves the right to remove any Job Posting or content from the Site, which in the reasonable exercise of CharityVillage’s discretion, does not comply with the above Terms, or is prohibited by applicable labour and human rights law or in any way breaches or infringes the rights of others, or if any content is posted that CharityVillage believes is not in the best interest of CharityVillage.
If at any time during Your use of the CharityVillage Services, You made a misrepresentation of fact to CharityVillage or otherwise misled CharityVillage in regards to the nature of Your organization and job posting activities, CharityVillage will have grounds to terminate Your use of the CharityVillage Services and immediately terminate Your Employer account and delete any related data and information.
11. Fees, Payments, and Refunds
Fees are listed in Canadian dollars (CAD) and must be paid in full upon ordering. Accepted payment methods include major credit cards. Fees are generally non-refundable unless explicitly stated otherwise.
12. User Content
You retain ownership of Your submitted content (resumes, job descriptions, application materials). However, by submitting, You grant CharityVillage a perpetual, worldwide, royalty-free license to use this content as necessary to provide the Services. CharityVillage reserves the right to remove inappropriate or unlawful content.
13. Prohibited Conduct by Users
All Users agree to not:
(a) transmit, post, distribute, store or destroy material, including without limitation CharityVillage Content, in violation of any applicable law or regulation, including but not limited to laws or regulations governing the collection, processing, or transfer of personal information, or in breach of CharityVillage’s Privacy Policy;
(b) take any action that imposes an unreasonable or disproportionately large load on THE SITE's infrastructure;
(c) use any device to navigate or search the Site other than the tools available on the Site, generally available third-party web browsers, or other tools approved by CharityVillage;
(d) use any data mining, robots, spiders or other similar data gathering or extraction methods;
(e) violate or attempt to violate the security of the CharityVillage Site including attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization;
(f) forge any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting;
(g) reverse engineer or decompile any parts of the Site;
(h) aggregate, copy or duplicate in any manner any of the CharityVillage Content or information available from the Site, including expired Job Postings, other than as permitted by these Terms;
(i) frame or link to any CharityVillage Content or information available from the Site, unless permitted by these Terms;
(j) post any content or material that promotes or endorses false or misleading information or illegal activities, or endorses or provides instructional information about illegal activities or other activities prohibited by these Terms, such as making or buying illegal weapons, violating someone's privacy, providing or creating computer viruses or pirating media;
(k) post any resume or apply for any job on behalf of another party;
(l) defer or misdirect any contact from an employer to any agent, agency, or other third party;
(m) share with a third party any login credentials to the CharityVillage Site;
(n) access data not intended for You or logging into a server or account which You are not authorized to access;
(o) post or submit to the Site any incomplete, false or inaccurate biographical information or information which is not Your own;
(q) post content that contains restricted or password-only access pages, or hidden pages or images;
(r) solicit passwords or personally identifiable information from other Users;
(s) delete or alter any material posted by any other person or entity;
(t) harass, incite harassment or advocate harassment of any group, company, or individual;
(u) send unsolicited mail or email, make unsolicited phone calls or send unsolicited texts, tweets or faxes promoting and/or advertising products or services to any User, or contact any users that have specifically requested not to be contacted by You;
(v) attempt to interfere with any Service to any User, host or network, including, without limitation, via means of submitting a virus to the Site, overloading, "flooding", "spamming", "mailbombing" or "crashing"; or
(w) use the CharityVillage Services for any unlawful purpose or any illegal activity, or post or submit any content, resume, or Job Posting that is defamatory, libelous, implicitly or explicitly offensive, vulgar, obscene, threatening, abusive, hateful, racist, discriminatory, of a menacing character or likely to cause annoyance, inconvenience, embarrassment, anxiety or could cause harassment to any person or include any links to pornographic, indecent or sexually explicit material of any kind, as determined by CharityVillage’s discretion.
Users who violate these Terms may have their access and use of the CharityVillage Site suspended or terminated, at CharityVillage’s discretion. Violations of system or network security may result in civil and/or criminal liability. CharityVillage will investigate occurrences which may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting Users who are involved in such violations.
You must not impersonate others, misrepresent Your affiliations, use automated systems to extract data, violate privacy rights, post unlawful content, or compromise the security or integrity of the Services.
14. User Content and Improvements.
You understand that all information, data, text, software, music, sound, photographs, graphics, video, advertisements, messages or other materials submitted, posted or displayed by You on or through the Site ("User Content") is the sole responsibility of the person from which such User Content originated. CharityVillage claims no ownership or control over any User Content. You or a third-party licensor, as appropriate, retain all patent, trademark and copyright to any User Content you submit, post or display on or through CharityVillage and you are responsible for protecting those rights, as appropriate. By submitting, posting or displaying User Content on or through CharityVillage, you grant CharityVillage a worldwide, non-exclusive, royalty-free, transferable, sub-licensable license to use, reproduce, adapt, distribute and publish such User Content through CharityVillage. In addition, by submitting, posting or displaying User Content which is intended to be available to the general public, you grant CharityVillage a worldwide, non-exclusive, royalty-free license to reproduce, adapt, distribute and publish such User Content for the purpose of promoting CharityVillage and its services. CharityVillage will discontinue this licensed use within a commercially reasonable period after such User Content is removed from CharityVillage. CharityVillage reserves the right to refuse to accept, post, display or transmit any User Content in its sole discretion.
You also represent and warrant that You have the right to grant, or that the holder of any rights, including moral rights in such content has completely and effectively waived all such rights and validly and irrevocably granted to You the right to grant, the license stated above. If You post User Content in any public area of THE SITE, You also permit any User to access, display, view, copy, and store such User Content for personal use. Subject to the foregoing, the owner of such User Content placed on THE SITE retains any and all rights that may exist in such User Content. CharityVillage may review and remove any User Content that, in its sole judgment, violates these Terms, violates applicable laws, rules or regulations, is abusive, disruptive, offensive or illegal, or violates the rights of, or harms or threatens the safety of, Users of the Site. CharityVillage reserves the right to expel Users and prevent their further access to the Site and/or use of CharityVillage Services for violating the Terms or applicable laws, rules or regulations. CharityVillage may take any action with respect to User Content that it deems necessary or appropriate in its sole discretion if it believes that such User Content could create liability for CharityVillage, damage CharityVillage’s brand or public image, or cause CharityVillage to lose Users or (in whole or in part) the services of its internet service provider or other suppliers and contractors.
CharityVillage does not represent or guarantee the truthfulness, accuracy, or reliability of User Content, derivative works from User Content, or any other communications posted by Users nor does CharityVillage endorse any opinions expressed by Users. You acknowledge that any reliance on material posted by other Users will be at Your own risk.
The following is a partial list of User Content that is prohibited on the Site. The list below is for illustration only and is not a complete list of all prohibited User Content.
Content that:
is implicitly or explicitly offensive, such as User Content that engages in, endorses or promotes racism, bigotry, discrimination, hatred or physical harm of any kind against any group or individual;
harasses, incites harassment or advocates harassment of any group or individual;
involves the transmission of “junk mail”, “chain letters,” or unsolicited mass mailing, “spamming” or “phishing”;
promotes or endorses false or misleading information or illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
promotes or endorses an illegal or unauthorized copy of another person's copyrighted work, such as providing or making available pirated computer programs or links to them, providing or making available information to circumvent manufacture-installed copy-protect devices, or providing or making available pirated music or other media or links to pirated music or other media files;
contains restricted or password only access pages, or hidden pages or images;
displays or links to pornographic, indecent or sexually explicit material of any kind;
provides or links to material that exploits people under the age of 18 in a sexual, violent or other manner, or solicits personal information from anyone under 18; or
provides instructional information about illegal activities or other activities prohibited by these Terms, including without limitation, making or buying illegal weapons, violating someone's privacy, providing or creating computer viruses or pirating any media; and
solicits passwords or personally identifying information from other Users.
We appreciate hearing from our Users and welcome Your comments regarding our services and the CharityVillage Site. Please be advised, however, that our policy does not permit us to accept or consider Improvements (as defined herein), suggestions, inventions or materials other than those which we have specifically requested. While we do value Your feedback on our services, please be specific in Your comments regarding our services and do not submit Improvements, inventions, suggestions, or materials. If, despite our request, You send us creative suggestions, ideas, drawings, concepts, inventions, or other information (collectively the "Improvements"), the Improvements shall be the property of CharityVillage. None of the Improvements shall be subject to any obligation of confidentiality on our part and we shall not be liable for any use or disclosure of any creative idea. CharityVillage shall own exclusively all now known or later discovered rights to the Improvement and shall be entitled to unrestricted use of the Improvement for any purpose whatsoever, commercial or otherwise, without compensation to You or any other person.
Notwithstanding the forgoing, CharityVillage does invite the submission of ideas, plans, drafts, outlines, slide presentations and other materials from Users who wish to publish same in our Newsletter, Webinars or have it featured in our Podcast, or for inclusion in any advertisement, sponsorship or promotion that You may wish to publish on our Site or in our various advertising platforms and applications (collectively, the “Submission”). In such circumstances the User shall follow the instructions published on our Site for the Submission and identify the desired usage of the Submissions in such communication to info@charityvillage.com. In such circumstances, should CharityVillage and You proceed with publishing or otherwise distributing the Submission, the rights and obligations of CharityVillage’s use of the Submission will be governed by a Contract, and in the event of a conflict of the terms and conditions of the Contract and these Terms, the Contract will prevail and be binding on the parties. In general, as a condition of such Contracts, subject to any variation agreed to by the parties, the intellectual property in the Submission remains vested in the original creator, owner and/or authorised Licensor of the Submission, and the User grants a limited, non-exclusive license to publish, use, disseminate or otherwise distribute the Submission to CharityVillage in accordance with the terms and conditions of the Contract.
15. Notification of Claimed Copyright or Trademark Infringement.
If You believe that Your copyrighted work or trademark has been uploaded, posted or copied to THE SITE and is accessible on such CharityVillage Site in a way that constitutes copyright or trademark infringement, please contact CharityVillage by email at info@CharityVillage.com or by regular mail at:

16. Policy regarding termination of Users who infringe the copyright or other intellectual property rights of others.
CharityVillage respects the intellectual property of others, and we ask our Users and content partners to do the same. The unauthorized posting, reproduction, copying, distribution, modification, public display or public performance of copyrighted works constitutes infringement of the copyright owners’ rights. As a condition to Your use of the Site, You agree not to use the Site to infringe the intellectual property rights of others in any way. CharityVillage reserves the right to terminate the accounts of any Users, and block access to the Site of any Users who are repeat infringers of the copyrights, or other intellectual property rights, of others. CharityVillage reserves the right, in its sole discretion, to take these actions to limit access to the Site and/or terminate the accounts of Users, at any time, who in our sole discretion infringe any intellectual property rights of others, whether or not there is any repeat infringement, with or without notice, and without any liability to the User who is terminated or to the User whose access is blocked. Notwithstanding the foregoing, in the event that You believe in good faith that a notice of copyright infringement has been wrongly filed against You, please contact CharityVillage as set forth in Section 15 above.
17. CharityVillage Content & Intellectual Property
All content on the Site, including text, graphics, logos, videos, images, and software, is the property of CharityVillage or its licensors, protected by Canadian and international copyright and trademark laws. Unauthorized copying, reproduction, distribution, or derivative works are strictly prohibited without express written permission.
18. CharityVillage’s Liability.
The Site acts as, among other things, venues for (i) Employers to post job opportunities and search for and evaluate Job Seekers and (ii) Job Seekers to search for and evaluate job opportunities. CharityVillage does not screen or censor the Job Postings or the identity of Job Seekers and their application, including their resumes. CharityVillage is not involved in, and does not control, the actual transaction between employers and candidates. As a result, CharityVillage is not responsible for User Content, the quality, safety or legality of the jobs or resumes posted, the truth or accuracy of the Job Postings, the ability of employers to offer job opportunities to candidates or the ability of candidates to fill job openings and CharityVillage makes no representations about any jobs, resumes or User Content on the Site. While CharityVillage reserves the right in its sole discretion to remove User Content, Job Postings, resumes or other material from the Site from time to time, CharityVillage does not assume any obligation to do so and to the extent permitted by law, disclaims any liability for failing to take any such action.
Note that there are risks, including but not limited to the risk of physical harm, of dealing with strangers, underage persons or people acting under false pretenses. You assume all risks associated with dealing with other Users with whom You come in contact through the Site. Other people’s information may be offensive, harmful or inaccurate, and in some cases will be mislabeled or deceptively labeled. We expect that You will use caution and common sense when using the Site.
Because User authentication on the Internet is difficult, CharityVillage cannot and does not confirm that each User is who they claim to be. Because we do not and cannot be involved in User-to-User dealings or control the behavior of participants on the Site, in the event that You have a dispute with one or more Users, You release CharityVillage (and our officers, directors, agents and employees) from claims, demands and damages (actual and consequential, direct and indirect) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes to the fullest extent permitted by law.
The Site and the CharityVillage Content may contain inaccuracies or typographical errors. CharityVillage makes no representations about the accuracy, reliability, completeness, or timeliness of the Site or the CharityVillage Content. The use of the Site and the CharityVillage Content is at Your own risk. Changes are periodically made to Site and may be made at any time. CharityVillage cannot guarantee and does not promise any specific results from use of the Site, the Services or CharityVillage Content. No advice or information, whether oral or written, obtained by a User from CharityVillage or through or from the Site shall create any warranty not expressly stated herein.
CharityVillage encourages You to keep a back-up copy of any of Your User Content. To the extent permitted by law, in no event shall CharityVillage be liable for the deletion, loss, or unauthorized modification of any User Content.
CharityVillage does not provide or make any representation as to the quality or nature of any of the third-party products or services purchased through the Site, or any other representation, warranty or guaranty. 23. Limitation of Liability.
TO THE FULLEST EXTENT POSSIBLE BY LAW, CHARITYVILLAGE'S MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE SITE OR YOUR USE OF THE CHARITYVILLAGE CONTENT, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF WARRANTY OR OTHERWISE), SHALL NOT EXCEED FEES PAID BY THE USER IN THE SIX MONTHS PRECEDING SUCH CLAIM, TO THE MAXIMUM EXTENT ALLOWED BY CANADIAN LAW.
24. Indemnification
You agree to defend, indemnify, and hold harmless CharityVillage, its affiliates, and their respective officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from (i) any User Content or other material You provide to the Site, (ii) Your use of the Site or any CharityVillage Content or any of the Services and/or (iii) Your breach of these Terms. CharityVillage shall provide notice to You promptly of any such claim, suit, or proceeding.
25. Termination
CharityVillage reserves the right to suspend or terminate User access to Services for violations of these Terms. Upon termination, Your right to use the Services will immediately cease.
26. Governing Law and Dispute Resolution
These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and applicable federal laws of Canada. . In the interest of resolving disputes between You and CharityVillage in the most expedient and cost-effective manner, to the extent permitted by applicable law, You and CharityVillage agree to resolve disputes in small claims court if a claim is within such court’s jurisdiction, provided that such action may not be transferred, removed or appealed to a different court. In the event that a claim does not fall within the jurisdiction of small claims court, You and CharityVillage agree that the claim will be referred to and finally settled (to the exclusion of the courts) by private and confidential binding arbitration before a single arbitrator held in Toronto, Ontario in English and governed by Ontario law pursuant to the Arbitration Act, 1991 (Ontario), as amended, replaced or re-enacted from time to time. The arbitrator will be a person who is legally trained and who has experience in the information technology field in Canada and is independent of either party. Any such Claim will be arbitrated on an individual basis and will not be consolidated in any arbitration with any claim, controversy or dispute of any other party. Notwithstanding any of the above, You agree that either party may seek injunctive or other equitable relief in any Provincial or federal court having jurisdiction to grant such relief in the event of actual or threatened infringement or misappropriation of intellectual property rights. You hereby expressly waive a trial by jury. To the extent permitted by applicable law, You hereby agree not to participate in a class action for any claims covered by this agreement. This provision shall survive the termination of this agreement.
27. Entire Agreement and Severability
These Terms, along with our Privacy Policy, constitute the entire agreement concerning Your use of the Site and the Services. If any provision of these Terms is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. In addition, CharityVillage’s failure to enforce any term of these Terms shall not be deemed as a waiver of such term or otherwise affect CharityVillage’s ability to enforce such term at any point in the future. Except as expressly provided in an additional agreement or Contract, additional Terms for certain areas of the Site or to access specific Services, a particular "Legal Notice," or software license or material on particular pages on the Site, these Terms constitute the entire agreement between You and CharityVillage with respect to the use of the Site and the Services.
